These Terms of Use (“Terms”) govern your access to and use of the LEMN DROPS platform and services, including:

  1. Custom printed secure NFC music cards

  2. NFC encoding and fulfillment services

  3. The LEMN DROPS phygital music hosting and streaming platform

By using LEMN DROPS, you agree to these Terms.

1. Overview of the Business Model

LEMN DROPS operates on a one-time purchase model.

When a customer or Creator purchases NFC cards:

  • The cost includes printing, encoding, fulfillment setup of the music files & data collected within the phygital music hosting & streaming platform & support.

  • The cost includes hosting and streaming of the associated music or content via the LEMN DROPS platform.

  • No separate recurring subscription fee is charged for hosting or streaming unless expressly agreed in writing.

2. Definitions

“LEMN DROPS,” “we,” “us,” or “our” means the operator of the LEMN DROPS platform.

“Creator” means any artist, label, rights holder, or entity purchasing NFC cards and uploading content.

“End User” means a person who taps an NFC card to access music or related content.

“Cards” means custom printed secure NFC cards encoded and provisioned by LEMN DROPS.

“Platform” means the cloud hosting, streaming, and digital delivery infrastructure powering the NFC experience.

3. Creator Responsibilities

By submitting music or content, the Creator represents and warrants that:

  • They own or control all necessary rights.

  • The content does not infringe any copyright, trademark, or other intellectual property rights.

  • The content complies with applicable laws.

Creators are solely responsible for royalty payments owed to collaborators, producers, or third parties.

LEMN DROPS does not act as a label, publisher, or collecting society.

4. NFC Card Printing & Encoding Services

LEMN DROPS provides:

  • Custom artwork printing (based on Creator-submitted designs)

  • Secure NFC chip encoding

  • Linking cards to hosted digital experiences

  • Card fulfillment and shipping

4.1 Production Accuracy

Creators are responsible for:

  • Final artwork approval

  • Correct metadata submission

  • Verification of linked content prior to production

Once production begins, changes may not be possible.

4.2 Risk Transfer

Risk of loss transfers to the purchaser upon shipment.

LEMN DROPS is not responsible for:

  • Shipping delays

  • Customs issues

  • Carrier loss

  • Damage occurring after delivery

5. Hosting & Streaming

5.1 Included Hosting

Hosting and streaming of music files are included in the one-time purchase of NFC cards.

However:

  • Hosting is provided for the operational lifespan of the platform.

  • LEMN DROPS does not guarantee perpetual or lifetime hosting.

  • We reserve the right to modify storage infrastructure or content delivery systems.

Hosting is provided for as long as the LEMN DROPS platform remains commercially operational.

5.2 Platform Availability

We aim for high uptime but do not guarantee uninterrupted access. All platform data is hosted on AWS cloud infrastructure with primary & backup locations to ensure high uptime & availability.

We are not liable for:

  • Internet outages

  • Third-party hosting failures

  • Force majeure events

  • Device compatibility limitations

6. Intellectual Property

6.1 Creator Ownership

Creators retain ownership of their music, information and artwork.

6.2 License to LEMN DROPS

Creators grant LEMN DROPS a non-exclusive, worldwide, royalty-free license to:

  • Host content

  • Encode NFC access

  • Stream content

  • Display artwork and metadata

  • Deliver digital experiences triggered by NFC taps

This license exists solely for operating the Services.

7. End User License

When an End User taps a card, they are granted:

  • A limited, non-exclusive, non-transferable license to stream or access the content.

Unless explicitly stated:

  • Downloading is not permitted.

  • Commercial reuse is prohibited.

  • Redistribution is prohibited.

Ownership of the music remains with the Creator.

Distribution, sale, pricing of the Cards for End Users delivered will be determined by the Creator.

8. Security & Anti-Cloning Disclaimer

LEMN DROPS uses secure NFC technologies like the NXP NTAG 424 DNA NFC chip designed to be one of the most secure anti-counterfeit and ant-cloning technologies available in the market today.

However:

  • No hardware or digital system is completely secure or immune to future hacking & encryption breaking technologies that maybe developed.

  • We are not liable for unauthorized copying or misuse of cards after distribution.

9. Fees & Payments

All fees are:

  • Due in full before production.

  • Non-refundable once production begins.

  • Inclusive of hosting and streaming unless otherwise specified.

We reserve the right to modify pricing for future orders.

10. Prohibited Use

You may not:

  • Upload infringing content

  • Interfere with platform security

  • Use the service for illegal purposes

  • Misrepresent rights ownership

  • Violate any laws or regulation

We may suspend or terminate accounts for violations.

11. Limitation of Liability

To the maximum extent permitted by law:

LEMN DROPS shall not be liable for:

  • Lost profits

  • Lost sales

  • Platform downtime

  • Unauthorized duplication of cards

  • Indirect or consequential damages

Total liability shall not exceed the amount paid for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless LEMN DROPS against claims arising from:

  • Copyright infringement

  • Rights disputes

  • Unauthorized distribution

  • Breach of these Terms

13. Termination of Services

We may suspend or terminate services if:

  • You breach these Terms

  • Required by law

  • The platform is discontinued

If the platform is discontinued, we may provide reasonable notice where practicable.

14. Modifications

We may update these Terms at any time.

Continued use constitutes acceptance of updated Terms.

15. Governing Law

These Terms shall be governed by the laws of:

Disputes shall be resolved in:

Provincial Court of Alicante, Valencia Region, Spain
